Yogneeti Master Client Agreement, Wellness Disclaimer & Liability Waiver
Welcome to Yogneeti. We are deeply honored to support your journey toward embodied resilience, and somatic well-being. Because your safety, autonomy, and well-being are our highest priorities, we ask that you carefully read and agree to the following framework before purchasing or accessing any of our offerings.
This Master Agreement applies to all facets of your interaction with us, including all digital programs, subscription libraries, one-to-one individual classes, and our interactive Teachable community spaces.
By checking the box at checkout or continuing with your purchase, you acknowledge and agree to the following terms with Yogneeti (hereinafter referred to as "the Company," "we," or "the Guide").
Age Restriction & Eligibility: You represent and warrant that you are at least eighteen (18) years of age (or the legal age of majority in your jurisdiction) and possess the legal capacity to enter into this binding contract. Our Services are designed and intended strictly for adults. If the Company discovers that an account has been created by or for a minor, we reserve the right to terminate the account and revoke access immediately with refund of the purchase.
1. Educational Purpose, Scope of Practice & Medical Clearance
- Not Medical Advice & No Guarantees: The Services provided by Yogneeti are strictly for general education, wellness, and self-exploration. The Guide is a certified yoga instructor and somatic educator, not a licensed medical doctor, psychiatrist, or clinical trauma therapist. Our Services do not constitute medical advice, diagnosis, or treatment for any physical or psychiatric condition (including clinical anxiety, depression, PTSD, or complex trauma). We do not guarantee any specific physical, mental, or emotional results, as somatic processing is a deeply individualized and non-linear journey.
- Fitness to Participate: By engaging in our Services, you acknowledge that your participation is strictly voluntary. You represent and warrant that you are physically, emotionally, and mentally fit to participate.
- Pre-existing Conditions: Somatic work, breathwork, and physical movement inherently carry physical and emotional risks. It is your sole responsibility to consult with a licensed medical professional prior to participating—especially if you are pregnant, postpartum, or have pre-existing health conditions including, but not limited to: prior surgeries, cardiovascular/heart conditions, spinal or disc issues, hernias, ulcers, or a history of significant psychological trauma.
- Not a Crisis Service: Yogneeti is not an emergency response service. If you are experiencing a medical or psychiatric emergency, or are in immediate danger of self-harm, you must immediately contact your local emergency services (such as 911) or go to the nearest hospital.
2. Your Bodily Autonomy & Assumption of Risk
I recognize that yoga, breathwork, and somatic practices involve internal exploration and physical movement, which carry an inherent risk of physical sensation, physiological shifts, or emotional discomfort. I voluntarily assume all such risks.
- Physical Autonomy: I agree that I am the ultimate expert on my own body. I will listen to my body’s signals, move only within my comfortable limits, and never push through sharp pain or acute dizziness. I agree to cease any practice that causes pain or discomfort.
- Emotional Autonomy: I understand that nervous system regulation can sometimes bring up heavy emotions, physical sensations, or past memories as the body processes stress. I acknowledge that I am always in the driver’s seat of my pacing. I have full permission to modify a practice or step away entirely if it feels unsupportive. I assume full responsibility for my emotional processing and boundaries.
3. Modality Specifics: Courses, Library, 1-on-1, & Community
My responsibilities adapt depending on the format I am accessing:
- Pre-Recorded Programs & Library: Because these videos are self-paced, the Guide cannot physically correct my form or monitor my immediate physical or emotional state. I assume 100% responsibility for the pacing of my journey and the safety of my physical environment.
- Live 1-on-1 Classes: I agree to fully disclose any physical injuries, relevant medical conditions, or pregnancy to the Guide before the session begins. I agree to tell the Guide immediately if a movement or discussion feels uncomfortable so we can adjust in real time.
- The Teachable Community: I agree to abide by the Yogneeti Community Terms. I acknowledge that the Company assumes zero liability for user-generated content and reserves the right to remove any member who violates community boundaries without a refund.
4. Financial Terms, Subscriptions, Payment Plans & Chargebacks
- 4.1 Practice Library Subscriptions: When you enroll in the Practice Library subscription, you authorize the Company (via its third-party payment processor) to automatically charge your payment method on a recurring basis (monthly or annually, as selected at checkout) until you formally cancel. You manage your subscription directly within your Teachable account dashboard. You may cancel at any time to prevent future billing, and you will retain access until the end of your current billing cycle. We do not issue partial refunds for unused days, nor do we issue retroactive refunds if you fail to cancel prior to your renewal date.
- 4.2 In-House Payment Plans (2-Month & 3-Month Installments): If you purchase an eligible self-guided digital protocol or Regulation Bundle utilizing an in-house multi-month payment plan, you acknowledge and agree that you are entering into a legally binding contract to pay the total purchase price in full. An in-house payment plan is a financial courtesy extended to support accessibility—it is not a pay-as-you-go subscription or a cancelable trial. (Note: High-touch services, including Guidance Tracks and Deep Assessment calls, are not eligible for in-house payment plans).
- Default on Payments: If an installment payment fails, our automated system will immediately suspend your access to the digital platform, protocols, and community spaces until your account balance is brought current.
- Financial Obligation: You remain legally responsible for the remaining balance of the full purchase price regardless of whether you choose to complete the curriculum. The Company reserves the right to pursue uncollected balances directly or through a third-party collections agency, which may impact your credit standing.
- 4.3 Third-Party Financing (Klarna / Afterpay / Clearpay): If you elect to finance your purchase through a third-party Buy Now, Pay Later (BNPL) provider at checkout, your financial obligation and repayment schedules are governed directly by your agreement with that third-party provider. The Company is not responsible for financing fees, approval decisions, or third-party payment schedules.
- 4.4 Failed Payments & Chargebacks: You agree not to initiate fraudulent or improper chargebacks through your credit card provider or bank. If a chargeback is initiated for a purchase or installment you legally agreed to pay, the Company reserves the right to present this signed Master Agreement, your IP address timestamp, and platform usage analytics to your financial institution. Any fraudulent chargeback will result in immediate termination of all platform access and a permanent ban from the Yogneeti community. Any chargeback initiated without first contacting us to seek a resolution may result in termination of platform access.
5. Yogneeti Official Enrollment & Return Policy
At Yogneeti, we honor responsibility. Our return policies are designed to grant you the space to ensure our teaching style and pacing align with your nervous system, while fiercely protecting the energetic capacity of our Guide and the financial and intellectual property of the business. Please review the policy governing your specific purchase category: (Where the consumer law of your country gives you a right that cannot be excluded, that right applies in addition to the policy below. See Section 11)
- 5.1 Practice Library (Subscription): The Practice Library includes a 7-day free introductory trial to grant you risk-free access to explore our content. Because of this initial trial period, all recurring subscription payments processed after the trial ends are strictly non-refundable. You may cancel at any time from your Teachable account dashboard; cancelling stops all future billing and you keep access until the end of the billing period you have already paid for.
- 5.2 Essential Care (Single Self-Guided Protocols - Nervous System Reset Protocol · Soft Cycle · Sun Salutation): Single digital protocols are backed by our 14-Day / 15% Alignment Guarantee. If you feel the protocol is not an alignment for your nervous system, you may request a full refund within 14 days of purchase, provided our Teachable platform analytics confirm you have viewed 15% or less of the total course video curriculum. If 14 days have elapsed from the time of purchase, OR if platform analytics indicate you have consumed 16% or more of the curriculum, the purchase is strictly final and we do not offer refunds for change of mind. If a refund is issued, your licence ends immediately. You agree to delete any downloaded worksheets, audio files or other materials from the program.
- 5.3 Regulation Bundles (Multi-Course Offers - Total Somatic Bundle · The Cyclical Care Bundle · The Resilience Bundle): Bundled offers are backed by our 14-Day / 15% Alignment Guarantee with a Strict Single-Course Trigger. Because bundles are offered at a discounted rate as a unified package, the 15% completion limit applies to any single protocol contained within the bundle. If platform analytics confirm you have completed 16% or more of any individual protocol within the bundle, the entire transaction becomes final and we do not offer refunds for change of mind, regardless of whether the remaining protocols in the bundle were opened.
- 5.4 Personal Guidance Tracks & Deep Assessment (1:1 & High-Touch): All high-touch offerings require direct scheduling, private energetic reservation, and dedicated time from our Guide. Therefore, all 1:1 and Guidance Track enrollments require payment in full upfront and are final sale, and we do not offer refunds for change of mind the moment the transaction clears.
- Financing: If you choose to finance a high-touch service, you must do so through an approved third-party provider (e.g., Klarna, Afterpay) at checkout. In-house installment plans are not accepted for live guidance.
- One-Month Utilization Boundary: To maintain momentum and energetic integrity in your somatic practice, all live sessions included within a Guidance Track or Deep Assessment package must be scheduled and fully utilized within 30 days of your purchase date. Any sessions left unused after this 30-day window will automatically expire and cannot be refunded, rolled over, or exchanged for cash value.
- Strict Rescheduling & Notice Windows: We accommodate live session rescheduling without penalty provided the newly requested date falls within your original 30-day utilization window. Notice must be given at least 48 hours prior to a standard Guidance Track session, and at least 72 hours prior to an Initial Deep Attunement. If you request a reschedule with less than the required notice, or if you fail to show up for your scheduled call, the session is immediately forfeited.
- One-Time Reschedule Limit: Any given session may only be rescheduled one (1) time. A previously rescheduled session cannot be rescheduled again under any circumstances; attempting to do so will result in immediate forfeiture of the session without a refund.
6. Data Protection & Platform Reliability
- Your Privacy: We deeply honor the vulnerability required for somatic work. Any personal, physical, or emotional information you share during 1-on-1 sessions, or within our private Teachable community, is kept strictly confidential. The Company does not and will never sell, trade, or share your sensitive personal data with outside marketing agencies or unauthorized third parties.
- Platform Outages (Force Majeure): Our courses and communities are hosted on third-party platforms (e.g., Teachable). The Company is not liable for temporary service interruptions, internet outages, or platform downtimes, and no refunds will be issued for such temporary technical delays.
7. Intellectual Property, Account Security & Unauthorized Use
I acknowledge that all Yogneeti materials—including video modules, audio recordings, written protocols, and proprietary somatic frameworks—are the exclusive intellectual property of the Company and are protected by international copyright laws.
- Single-User License & Account Security: Your purchase grants you a single, non-transferable, and non-exclusive license for your personal, non-commercial use only. Your Teachable login credentials are for your individual use and must never be shared. The Company actively monitors platform usage, concurrent logins, and IP addresses. If unauthorized account sharing is detected, your access to the platform will be immediately and permanently revoked without warning and without refund.
- Prohibition of Duplication & Piracy: You are strictly prohibited from screen-recording, capturing, duplicating, distributing, or teaching our proprietary frameworks to others. You may not download any content unless an explicit "download" option is provided within the platform. Any unauthorized reproduction, sharing, or commercial exploitation of Yogneeti materials constitutes a material breach of this Agreement and will result in immediate legal action, including the pursuit of maximum statutory damages and injunctive relief.
- Bystander Liability (Unauthorized Participants): This Agreement, including all safety waivers and medical disclaimers, applies solely to you as the registered account holder. If you choose to display or broadcast Yogneeti content in a shared environment, allowing unauthorized individuals (such as friends, family members, or roommates) to participate alongside you, you do so entirely at your own risk. You legally assume full financial and legal responsibility for any physical injuries or psychological distress sustained by these unauthorized participants. Furthermore, you agree to fully indemnify, defend, and hold the Company harmless against any claims, lawsuits, or legal fees brought by any third party who accessed or participated in the Services through your account.
- "Lifetime access" means access for as long as Yogneeti continues to offer that program. If we ever discontinue a program or close the platform, we will give you at least 90 days' notice and make the program's downloadable materials available to you during that period.
8. Shared Responsibility, Liability & Mutual Protection
Because we are guiding you virtually and cannot monitor your physical space, we ask that you take full ownership of your physical boundaries and emotional well-being.
- Release of Liability: By practicing with us, you agree to assume complete responsibility for your health and safety. You agree to release and hold harmless Yogneeti (including our founders, teachers, and contractors) from liability for any physical injury, psychological distress, or exacerbation of any pre-existing conditions that might occur directly or indirectly from your participation.
- Mutual Protection (Indemnification): To maintain the sustainability of this business, we require mutual protection. If a claim, lawsuit, or legal issue arises because of a breach of this Agreement on your end—such as failing to seek required medical clearance or allowing an unauthorized third party to use your account—you agree to take full legal and financial responsibility for those claims. This means you agree to indemnify and defend Yogneeti, covering any legal fees or damages that arise from those specific actions.
9. Resolving Disconnects with Integrity (Governing Law & Arbitration)
Our deeply held hope is that our communication with you will always be clear, respectful, and mutually supportive. However, should a legal dispute ever arise, we believe in resolving it confidentially and constructively.
- Governing Law: This framework and our working relationship are governed by the laws of the Province of Ontario, Canada.
- Private Binding Arbitration: To resolve disagreements respectfully, quickly, and confidentially, both you and the Company agree to settle any legal disputes through private, binding arbitration in Ontario, Canada, rather than pursuing a public lawsuit in standard courts.Nothing in this section removes any right you have to bring a claim in court, or to participate in a class proceeding, where the law of your jurisdiction preserves that right.
- Individual Focus (Class-Action Waiver): We value one-on-one resolution. By agreeing to these terms, you agree that any dispute will be handled on an individual basis, and you waive the right to bring or join a class-action or representative lawsuit against the Company.
- Protecting Our Life’s Work: The only exception to our private arbitration process is the theft of our intellectual property. In cases of unauthorized duplication, piracy, or distribution of our materials, Yogneeti explicitly retains the right to seek immediate relief and statutory damages in an Ontario court to protect our proprietary frameworks.
10. Severability: If any single provision of this Agreement is ever deemed unenforceable by a mediator or arbitrator, that specific line will be adjusted, and the remainder of this Agreement will remain fully active and enforceable.
11. Your Statutory Rights: Nothing in this Agreement excludes, restricts or modifies any right, guarantee or remedy you have under the consumer law of the country or region where you live, where that law does not permit it to be excluded. Where local consumer law gives you more protection than this Agreement does, that law applies. If you are in Australia, our goods and services come with guarantees that cannot be excluded under the Australian Consumer Law. If you are in the United Kingdom or the European Union, your statutory rights in relation to digital content continue to apply.
